4. TERMS OF SERVICE

1. About these terms

These Terms of Service govern your access to and use of jthreads.net and your purchase of products from jthreads.

In these terms:

jthreads, we, us and our mean jthreads.net, trading as jthreads;
website means jthreads.net and associated storefronts;
services means the website, products, content and related services we provide; and
you means the person accessing the website or purchasing from us.

The website is hosted using Shopify and may rely on other service providers.

By using the website or placing an order, you agree to these terms and the policies incorporated into them, including our:

Privacy Policy;
Refund, Return and Exchange Policy; and
Shipping Policy.

Nothing in these terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified.

2. Eligibility and accounts

You must be legally capable of entering a binding agreement to place an order.

If you permit a minor to use the website, you are responsible for their use of the website and for purchases made with your authority.

You must provide accurate, current and complete information when placing an order or creating an account.

You are responsible for protecting your account credentials and for activity undertaken through your account, except to the extent that activity results from our failure to take reasonable security measures.

Notify us promptly if you believe your account has been accessed without authority.

3. Products

We make reasonable efforts to accurately describe and display our products.

Product colours may appear differently depending on your screen, device settings, lighting and photography. Minor variation between an on-screen image and the physical garment is not necessarily a defect.

This does not excuse a product that is materially different from its description, sample or representation.

Unless stated otherwise:

garments are made to order;
measurements are approximate;
minor manufacturing tolerances may occur; and
product availability may change.

We may update or discontinue a product, but this will not affect an order we have already accepted unless we contact you and provide an appropriate alternative or refund.

4. Orders and acceptance

Submitting an order is an offer to purchase the products shown in the order.

An order is accepted when we send an order confirmation indicating that the order has been accepted, subject to payment approval and any fraud or availability checks.

We may refuse or cancel an order where reasonably necessary, including where:

payment is not authorised;
the product is unavailable;
there is an obvious pricing or description error;
we reasonably suspect fraud or unauthorised payment;
delivery to the stated destination is unavailable or unlawful; or
the order appears to be for unauthorised commercial resale.

If we cancel an order after payment has been taken, we will refund the affected amount to the original payment method.

5. Order changes and cancellation

You may request an order change or cancellation within 24 hours of placing the order.

Contact us as quickly as possible. Because production may begin shortly after purchase, we cannot guarantee that a request can be completed once production has begun.

Any statutory cancellation right that applies in your location is unaffected.

6. Prices and payment

Prices are displayed in the currency selected on the website.

Unless stated otherwise, prices do not include:

delivery charges;
customs duties;
import taxes; or
other destination-country charges.

The complete amount payable to jthreads will be displayed before checkout is completed.

You authorise our payment provider to charge the selected payment method for the order amount.

We may correct an obvious pricing error. If an error affects an order you have already submitted, we will contact you and allow you to proceed at the correct price or cancel the affected product for a full refund.

7. Promotions and discount codes

Promotions may be subject to additional terms displayed with the offer.

Unless expressly stated otherwise:

discounts apply only to eligible merchandise;
discounts cannot be redeemed for cash;
discount codes cannot be combined;
shipping charges, duties and gift cards do not count towards product-based discount thresholds; and
a promotion may be changed or withdrawn before an order is placed.

Where a promotion states that the lowest-priced item receives a discount, the discount will apply to the lowest-priced eligible item included in the same qualifying order.

A promotion will not be retrospectively applied after checkout unless we agree otherwise.

Promotional terms do not limit statutory consumer rights.

8. Production, shipping and delivery

Production and shipping are governed by our Shipping Policy.

We may use third-party production, fulfilment, payment and delivery partners. Jthreads remains responsible for its obligations to you and remains your point of contact for the retail transaction.

Delivery dates are estimates unless we expressly agree to a guaranteed date.

We will not be responsible for a delay caused by an event outside our reasonable control to the extent permitted by law. We will nevertheless provide reasonable information and assistance and will comply with any remedy required under applicable consumer law.

We do not transfer responsibility for resolving a missing or faulty order to the manufacturer, production partner or carrier.

9. Returns, exchanges and refunds

Returns, sizing exchanges and refunds are governed by our Refund, Return and Exchange Policy.

Our discretionary policies operate in addition to, and not instead of, statutory consumer rights.

10. Australian Consumer Law

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these terms is intended to exclude, restrict or modify:

a consumer guarantee;
a right or remedy under the Competition and Consumer Act 2010 or Australian Consumer Law; or
another right or remedy that cannot lawfully be excluded.

Where we are permitted to limit a remedy for a failure that is not a major failure, our liability may be limited, at our option, to one or more of:

replacing the goods;
supplying equivalent goods;
repairing the goods;
paying the cost of replacing the goods or acquiring equivalent goods; or
paying the cost of having the goods repaired.

This limitation does not apply where it would be unlawful or where the failure is major.

11. Intellectual property

The website and its content—including jthreads’ brand names, sub-brand names, artwork, graphics, photographs, text, logos, layout and product designs—are owned by or licensed to jthreads and are protected by intellectual-property laws.

You may access the website for personal, non-commercial shopping purposes.

Without our written permission, you must not:

reproduce or commercially exploit our artwork or designs;
copy or republish substantial website content;
use our trade marks or branding;
create products derived from our designs;
scrape the website for commercial purposes; or
remove ownership or rights notices.

Nothing in these terms transfers intellectual-property ownership to you.

12. Acceptable website use

You must not use the website:

unlawfully or fraudulently;
to interfere with website security or operation;
to introduce malicious code;
to gain unauthorised access to systems or accounts;
to collect personal information without authority;
to impersonate another person;
to infringe intellectual-property or privacy rights; or
to harass, threaten or harm another person.

We may suspend access where reasonably necessary to protect the website, our customers or our legal rights.

13. Reviews and customer content

If you submit a review, photograph, comment or other content, you confirm that:

the content is accurate and based on your genuine experience;
you own it or have permission to provide it;
it does not infringe another person’s rights;
it is not unlawful, misleading, defamatory or abusive; and
any incentive connected with the review has been disclosed.

You retain ownership of your content.

You grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce and adapt the content for operating and promoting jthreads, unless you and we agree otherwise.

We may moderate or remove content where reasonably necessary, but we are not obliged to publish every submission.

14. Third-party services and links

The website may use or link to services operated by Shopify, payment providers, delivery companies, social platforms and other third parties.

Those providers may have their own terms and privacy policies.

We are not responsible for an independent third-party website merely because the website links to it. This does not limit our responsibility for suppliers and contractors we use to perform our obligations to you.

15. Website availability and information

We aim to keep the website accurate and available but do not promise uninterrupted or error-free access.

We may maintain, update or temporarily suspend parts of the website.

General editorial or cultural information on the website is provided for general interest and is not professional, legal, medical, financial or religious advice.

16. Limitation of liability

Nothing in this section limits liability that cannot lawfully be limited, including liability arising under applicable consumer legislation.

To the extent permitted by law, we are not liable for:

losses that were not reasonably foreseeable when the agreement was formed;
losses caused by your unlawful or negligent conduct;
business losses arising from a purchase made primarily for personal use; or
losses caused solely by an event outside our reasonable control that we could not reasonably prevent.

Any exclusion or limitation is to be read down to the minimum extent necessary to make it lawful and enforceable.

17. Indemnity

To the extent permitted by law, you are responsible for reasonable loss suffered by jthreads as a direct result of:

your deliberate or unlawful misuse of the website;
your infringement of another person’s intellectual-property rights through content you submit; or
a material breach of these terms.

This clause does not require you to compensate us for loss caused by our own negligence, unlawful conduct or breach.

18. Privacy

Our collection and handling of personal information are described in our Privacy Policy.

19. Changes to these terms

We may update these terms to reflect changes in:

our business or services;
technology;
payment or delivery arrangements; or
legal or regulatory requirements.

The updated version will be published with a revised date.

Changes will not retrospectively alter an order already accepted unless required by law or agreed with you.

20. Severability and waiver

If part of these terms is found to be invalid or unenforceable, it will be read down or severed to the minimum extent necessary. The remaining terms will continue to apply.

A failure to immediately enforce a right is not a waiver of that right.

21. Governing law

These terms are governed by the laws of New South Wales, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.

This does not prevent a consumer from relying on mandatory rights or bringing a claim in another jurisdiction where applicable law permits or requires it.
